Terms of Use

1. Agreement

These terms are an agreement between you and AutoAnnex Proprietary Limited (“we”, “us”), a company based in South Africa, and govern your use of the AutoAnnex add-in for Microsoft Word and the autoannex.co.za website. By installing or using AutoAnnex you accept these terms. If you are accepting on behalf of a firm or company, you confirm that you have authority to bind it, and “you” includes that organisation.

2. The service

AutoAnnex automates the labelling, numbering, ordering, and cross-referencing of annexures in Word documents, and embeds PDF annexures into those documents. It runs inside Microsoft Word on your device; it does not upload your documents or annexures anywhere. How we handle data is described in our Privacy Policy.

AutoAnnex requires a compatible version of Microsoft Word and Microsoft 365. Your use of Microsoft’s software and services is governed by your agreement with Microsoft, not by these terms, and we are not responsible for Microsoft’s platforms.

3. Your licence

We grant you a limited, non-exclusive, non-transferable licence to use AutoAnnex for your own professional or business purposes, in accordance with these terms and the subscription plan you have purchased. You may not:

• copy, resell, sublicense, rent, or otherwise redistribute AutoAnnex;
• reverse engineer, decompile, or modify it, except to the extent the law permits despite this restriction;
• share licence credentials beyond the number of users your plan allows, or otherwise circumvent plan limits; or
• use AutoAnnex unlawfully, or to create a competing product.

4. Subscriptions and fees

Paid plans are billed at the prices displayed when you subscribe, whether on our website or through Microsoft AppSource. Subscriptions renew automatically at the end of each billing period unless cancelled; cancelling stops future renewals and your access continues until the end of the period already paid for. Where a free trial is offered, it ends automatically unless you take out a paid subscription. Except where the law requires otherwise, fees already paid are not refundable. We may change our prices on notice; changes take effect from your next renewal.

5. Your documents and your responsibility

Your documents and annexures are yours. We claim no rights in them, and — as set out in the Privacy Policy — we never receive them.

AutoAnnex is a drafting tool, not legal advice. It does not review the legal substance of your documents, and using it does not create an attorney-client or professional relationship with us. You remain solely responsible for your documents, including verifying that annexure references, labels, and numbering are accurate and that your documents comply with any applicable court rules, practice directives, or filing requirements before you file, serve, or otherwise rely on them.

6. Intellectual property

AutoAnnex, including its software, design, and branding, is owned by us and our licensors and is protected by intellectual property law. These terms give you a licence to use AutoAnnex, not ownership of it. If you send us feedback or suggestions, we may use them to improve AutoAnnex without obligation to you.

7. Availability and updates

We may update AutoAnnex from time to time, including adding, changing, or removing features, and may discontinue the service on reasonable notice. Because AutoAnnex runs on Microsoft’s platforms (Word, Microsoft 365, and Microsoft’s content delivery networks), its availability can be affected by those platforms, which we do not control.

8. Disclaimer of warranties

AutoAnnex is provided “as is” and “as available”. To the maximum extent the law allows, we do not warrant that it will be uninterrupted or error-free, or that it will meet your requirements. Nothing in these terms limits any warranty or consumer right that cannot lawfully be excluded, including under the Consumer Protection Act, 2008, where it applies.

9. Limitation of liability

To the maximum extent the law allows, we are not liable for indirect, incidental, special, or consequential damages — including loss of profits, loss of data, or adverse outcomes in any legal matter — arising from your use of or inability to use AutoAnnex. To the same extent, our total liability for all claims arising out of or relating to AutoAnnex is limited to the fees you paid us for AutoAnnex in the twelve months before the event giving rise to the claim. Nothing in these terms excludes liability that cannot lawfully be excluded.

10. Termination

You may stop using AutoAnnex and cancel your subscription at any time. We may suspend or terminate your licence if you materially breach these terms and, where the breach can be remedied, fail to remedy it within a reasonable time after we notify you. On termination your licence ends, but your documents are unaffected — they are on your device and were never ours to hold.

11. Changes to these terms

We may revise these terms from time to time. If we make material changes, we will post the updated terms on this page, revise the “Last updated” date above, and give notice through the website or the add-in’s store listing. Your continued use of AutoAnnex after the changes take effect constitutes acceptance of the revised terms.

12. Governing law

These terms are governed by the law of the Republic of South Africa, and the South African courts have jurisdiction over any dispute arising from them, without depriving you of any protection granted by mandatory law of the country where you reside.
